01Acceptance of terms
These Terms of Service ("Terms") are a binding agreement between you and Voxel AI Lab LLC ("Voxel AI Lab," "we," "us," or "our") governing your access to and use of voxel-ai-lab.com and any related pages, tools, or content we make available on the site (collectively, the "Site"). By accessing or using the Site, submitting the contact form, or otherwise interacting with the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.
If you are using the Site on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.
02Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Site. The Site is intended for business and professional use and is not directed at children. By using the Site, you represent that you meet this requirement.
03Nature of the Site and illustrative content
The Site is a marketing and informational website describing the services Voxel AI Lab offers. It is not a hosted application, customer portal, or production system.
Certain elements of the Site -- including but not limited to build/test/pipeline panels, status indicators, uptime figures, throughput numbers, "Live" badges, and similar dashboard-style visuals -- are illustrative examples used to describe the kind of tooling and outcomes we build. They depict representative, non-real data and do not reflect the live status of any actual system, client environment, or engagement, and are not a guarantee, warranty, or commitment regarding performance, uptime, or results for any future engagement.
Any specific figures, timelines, or outcomes we provide to a prospective or current client outside of these illustrative visuals -- for example, in a proposal, statement of work, or signed agreement -- are governed by that separate document, not by this general disclaimer.
04Acceptable use
When using the Site, you agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation.
- Attempt to gain unauthorized access to the Site, its underlying infrastructure, or any related systems or accounts.
- Scrape, crawl, harvest, or use automated means to extract data from the Site, except for standard, well-behaved search engine indexing.
- Interfere with, disrupt, or place undue load on the Site, including through denial-of-service attacks, malware, or bots.
- Reverse engineer, decompile, or attempt to derive the source code of any non-public part of the Site.
- Submit false, misleading, or fraudulent information through the contact form or any other input on the Site.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Use the contact form to transmit unsolicited advertising, promotional material, spam, or malicious content.
We may suspend or restrict your access to the Site, without notice, if we reasonably believe you have violated this section.
05Intellectual property
The Site and its entire contents, features, and functionality -- including all text, graphics, logos, the Voxel AI Lab name and voxel mark, icons, images, code, and the design and "look and feel" of the Site -- are owned by Voxel AI Lab LLC or its licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your own informational and business evaluation purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any part of the Site without our prior written consent, except as permitted by applicable law.
"Voxel AI Lab" and the associated voxel cube mark are trademarks of Voxel AI Lab LLC. Nothing in these Terms grants you any right to use our trademarks without separate, express written permission.
06Inquiries, quotes, and service engagements
Submitting the contact form, requesting a demo, or otherwise reaching out through the Site is an inquiry only. It does not create a contract, retainer, client relationship, or obligation on either party's part, and does not guarantee a response within any particular timeframe, notwithstanding any response-time estimate shown on the Site.
Actual engagements for engineering, QA, infrastructure, AI, data, or consulting services are governed exclusively by a separate, mutually signed agreement (such as a Master Service Agreement, Statement of Work, or order form). If any term of that signed agreement conflicts with these Terms, the signed agreement controls for that engagement.
Descriptions of our capabilities, pillars, tech stack, and past results on the Site are provided for general informational purposes and do not constitute an offer capable of acceptance, a quote, or a guarantee of scope, cost, or outcome for any specific project.
07Third-party links and services
The Site may reference or link to third-party websites, tools, or services (for example, technologies in our stack) that we do not own or control. We are not responsible for the content, accuracy, or practices of any third-party site, and inclusion of a reference or link does not imply endorsement. Your use of any third-party site is at your own risk and subject to that site's own terms.
08Disclaimer of warranties
THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Site will be uninterrupted, secure, timely, or error-free, that defects will be corrected, or that the Site is free of viruses or other harmful components. We do not warrant the accuracy, completeness, or currency of any content on the Site, including illustrative figures described above. To the fullest extent permitted by law, we disclaim all warranties not expressly stated in a signed written agreement between you and Voxel AI Lab LLC.
09Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL VOXEL AI LAB LLC, ITS OWNERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100). This limitation does not apply to liability arising from a separately signed services agreement, which is governed by the liability terms in that agreement, or to liability that cannot be limited or excluded under applicable law.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
10Indemnification
You agree to defend, indemnify, and hold harmless Voxel AI Lab LLC and its owners, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your violation of these Terms; (b) your misuse of the Site; (c) any information you submit through the Site that is false, misleading, or infringes the rights of a third party; or (d) your violation of any applicable law or the rights of a third party.
11Governing law and dispute resolution
These Terms and any dispute arising out of or related to the Site or these Terms will be governed by the laws of the State of Texas, without regard to its conflict-of-laws principles.
Before filing a claim, you agree to first contact us at hello@voxel-ai-lab.com and attempt in good faith to resolve the dispute informally for at least 30 days.
If a dispute is not resolved informally, you and Voxel AI Lab LLC agree that any claim or controversy arising out of or relating to the Site or these Terms will be resolved by binding arbitration administered under the rules of the American Arbitration Association, conducted in English, with the arbitration seated in a mutually agreeable location in Texas or conducted remotely. You and Voxel AI Lab LLC each waive the right to a jury trial and the right to participate in a class, collective, or representative action, to the fullest extent permitted by law.
Notwithstanding the foregoing, either party may bring an individual action in small claims court, and either party may seek injunctive or other equitable relief in a court of competent proceeding located in Texas to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property or confidentiality rights.
12Suspension and termination
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Sections of these Terms that by their nature should survive termination -- including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law -- will survive.
13Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the "Effective" date at the top of this page. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
14General provisions
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
These Terms, together with our Privacy Policy and any signed agreement governing a specific engagement, constitute the entire agreement between you and Voxel AI Lab LLC regarding the Site and supersede any prior agreements regarding the Site. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
